1. Acceptance of Terms

Welcome to Elori. By accessing or using our AI Sales Director platform ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (either an individual or a single entity, referred to as "you" or "User") and Elori ("Company," "we," "us," or "our") regarding your use of the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the revised Terms.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable laws
  • If using the Service on behalf of an organization, have the authority to bind that organization to these Terms

By using the Service, you represent and warrant that you meet all eligibility requirements. If you do not meet these requirements, you must not access or use the Service.

3. Account Registration and Security

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Immediately notify us of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You may not share your account credentials with others or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Subscription and Billing

4.1 Subscription Plans

Elori offers various subscription plans with different features and pricing. Details of available plans are provided on our pricing page. We reserve the right to modify, discontinue, or introduce new plans at any time.

4.2 Free Trial

We may offer a free trial period for new users. At the end of the trial period, you will be automatically enrolled in a paid subscription unless you cancel before the trial ends. Trial terms and duration may vary.

4.3 Payment Terms

By subscribing to a paid plan, you agree to pay all fees associated with your subscription. Fees are billed in advance on a recurring basis (monthly or annually, depending on your plan). All payments are non-refundable except as expressly stated in these Terms or required by law.

4.4 Price Changes

We may change our prices at any time. Price changes will take effect at the start of the next billing cycle following notice of the change. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain access to the Service until the end of the paid period.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Use the Service for any illegal, fraudulent, or harmful purpose
  • Upload, transmit, or distribute any content that is defamatory, obscene, threatening, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or its systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems or software to extract data from the Service (scraping)
  • Send unsolicited communications (spam) through the Service
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service to send harassing, abusive, or threatening messages
  • Circumvent any technical measures we use to provide the Service

6. AI-Powered Features

The Service includes artificial intelligence features that analyze data, provide recommendations, and automate certain tasks. You acknowledge and agree that:

  • AI-generated content and recommendations are provided for informational purposes and should not be relied upon as the sole basis for business decisions
  • AI features may produce inaccurate, incomplete, or inappropriate outputs
  • You are responsible for reviewing and verifying all AI-generated content before use
  • We do not guarantee the accuracy, reliability, or suitability of AI outputs
  • AI features may change or be discontinued at any time
  • Your data may be processed by AI systems to provide and improve the Service

7. Data and Content Ownership

7.1 Your Data

You retain all rights to the data and content you upload, submit, or transmit through the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

7.2 Our Content

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio, video, software, and code, are the exclusive property of Elori or our licensors and are protected by intellectual property laws.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such feedback without any obligation to you.

8. Third-Party Services and Integrations

The Service may integrate with or link to third-party services, platforms, or applications. You acknowledge that:

  • We are not responsible for third-party services or their content
  • Your use of third-party services is subject to their own terms and privacy policies
  • We do not endorse or guarantee the availability of third-party services
  • Integration features may change or become unavailable
  • You are responsible for maintaining any credentials required for third-party integrations

9. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY CONTENT OR INFORMATION
  • WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ELORI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE
  • DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR DATA

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO US IN THE TWELVE MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Indemnification

You agree to indemnify, defend, and hold harmless Elori and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Data or content you submit through the Service

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • We may delete your account and all associated data
  • You remain liable for any obligations incurred before termination
  • Sections that by their nature should survive termination will survive

You may terminate your account at any time by contacting us or using the account deletion feature in settings.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the Swedish Arbitration Association, and judgment on the award may be entered in any court of competent jurisdiction.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Elori regarding the Service and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control.
